Welcome to Truckaxic ("Company," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your access to and use of the website located at truckaxic.com (the "Site") and any dispatch, load-finding, rate negotiation, paperwork, permit/IFTA, or related services described on the Site (collectively, the "Services"). By accessing the Site or engaging our Services, you ("you," "Client," or "Carrier") agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.
1. Overview of Services
Truckaxic provides truck dispatch support services to owner-operators and fleet carriers, which may include:
- Load finding and freight matching across various lanes and trailer types
- Rate negotiation with brokers and shippers
- Broker relationship management
- Paperwork and billing support (BOL, POD, invoicing, and factoring coordination)
- Permit and IFTA filing assistance
- Ongoing dispatcher support
Truckaxic acts as a dispatch service provider and is not a motor carrier, freight broker, or property broker unless separately licensed and disclosed as such. Nothing on this Site constitutes a guarantee of load availability, freight rates, or income.
2. Eligibility
To use our Services, you represent that you:
- Are at least 18 years of age and legally able to enter into a binding contract;
- Hold all licenses, permits, insurance, and authority required to legally operate as a motor carrier or owner-operator in the jurisdictions where you operate (including valid MC/DOT authority where applicable);
- Will provide accurate, current, and complete information about yourself, your business, and your equipment; and
- Will comply with all applicable federal, state, and local laws and regulations governing trucking and freight transportation.
3. Dispatch Services & No Forced Dispatch
Truckaxic operates on a no-forced-dispatch basis. You retain full discretion to accept or decline any load presented to you. Truckaxic does not control, and is not responsible for, your final decision to accept a load, your driving, your compliance with hours-of-service rules, or the physical transportation of any freight.
4. Fees & Payment
- Specific fee structures, commission percentages, or flat rates will be disclosed to you in a separate service agreement or quote prior to the start of Services.
- Truckaxic reserves the right to modify its fee structure with reasonable advance notice.
- You are responsible for any factoring fees, fuel costs, tolls, permits, insurance, maintenance, or other operating expenses associated with your business, unless otherwise agreed in writing.
- Late or disputed payments may result in suspension of Services.
5. Broker & Rate Negotiation
While Truckaxic works to negotiate favorable rates with brokers and shippers, we do not guarantee any specific rate, percentage above market, or volume of loads. Statistics referenced on the Site (such as average rate improvements or on-time percentages) are aggregate, historical figures and are not a promise of individual results.
6. Client Responsibilities
You agree to:
- Maintain valid operating authority, insurance, and equipment safety standards at all times;
- Promptly provide documentation needed for load booking, invoicing, and compliance (e.g., BOLs, PODs, insurance certificates);
- Notify Truckaxic promptly of any changes to your authority, insurance, equipment, or availability; and
- Not use the Services for any unlawful purpose, including misrepresenting cargo, weight, or equipment type to brokers or shippers.
7. Intellectual Property
All content on the Site — including text, graphics, logos, images, and software — is the property of Truckaxic or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Site's content without our prior written consent.
8. Third-Party Brokers, Carriers & Links
Truckaxic works with third-party brokers and may reference or link to third-party websites or services. We do not control and are not responsible for the actions, omissions, rates, contracts, or conduct of any third-party broker, shipper, factoring company, or other carrier. Any agreement you enter into with a third party is solely between you and that party.
9. Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TRUCKAXIC DOES NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SITE, NOR DOES IT GUARANTEE ANY LEVEL OF INCOME, LOAD VOLUME, OR RATE OUTCOMES.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TRUCKAXIC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO TRUCKAXIC IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Truckaxic and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of law, or your operation as a motor carrier.
12. Termination
Either party may terminate the Services relationship at any time, subject to any notice period specified in a separate service agreement. Truckaxic reserves the right to suspend or terminate access to the Site or Services for any user who violates these Terms.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas, unless otherwise required by applicable law.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms. We will update the "Last Updated" date above when changes are made.
